Sorrl Terms of Service

These Terms of Service ("Terms") govern your access to and use of Sorrl (the "Service"), operated by Taite Hartman, doing business as "Sorrl" ("we," "us," "our"), located at 1690 Swanson Ln, Upper Saint Clair, PA 15241. By creating an account or using the Service, you agree to these Terms.

This document is a draft prepared for review and has not been reviewed by an attorney. Do not treat this as legal advice or a final compliance document.

1. Description of the Service

Sorrl is an electronics-procurement automation tool for prototype-scale hardware teams. The Service allows you to:

2. Account Registration and Eligibility

You must provide accurate information when creating an account and are responsible for maintaining the confidentiality of your login credentials. You must be at least 18 years old to use the Service. If you use Sorrl on behalf of a company or team, you represent that you have authority to bind that organization to these Terms.

3. Subscription Plans, Billing, and Cancellation

3.1 Plans

Sorrl offers a free tier with limited features and a paid "Pro" tier with expanded functionality (unlimited projects, extended sourcing, team collaboration, and full risk monitoring), as described on our pricing page.

3.2 Billing

Paid subscriptions are billed in advance on a recurring basis (monthly or annual, as selected at signup) through our payment processor, Stripe. By subscribing, you authorize us to charge your payment method on file for each billing cycle until you cancel.

3.3 Cancellation

You may cancel your subscription at any time from your account settings. Cancellation takes effect at the end of your current billing period; you will retain Pro access through the end of that period and will not be charged again afterward.

3.4 Refunds

Except where required by applicable law, subscription fees are non-refundable, including for partial billing periods. If you believe you were charged in error, contact us at taite@sorrl.io and we will review the request in good faith.

3.5 Changes to Pricing

We may change subscription pricing with advance notice. Price changes will apply starting with your next billing cycle following the notice period.

4. Connected Accounts and Third-Party Services

To provide core functionality, Sorrl integrates with third-party services, including your email provider (Gmail, Outlook, Yahoo, or iCloud) and electronics distributors (DigiKey, Mouser, Arrow, LCSC, Newark, Avnet, Future Electronics). You are solely responsible for:

Sorrl is not a party to, and assumes no liability for, any transaction you complete with a third-party distributor. We are not a merchant of record for any part purchase made through a distributor's website, even where Sorrl generated the pre-filled cart.

You may disconnect a connected email account at any time; doing so will disable automatic order/shipment detection until reconnected.

6. No Warranty on Sourcing Data

Pricing, stock, and lead-time information displayed within Sorrl is sourced from third-party distributor APIs and is provided for convenience only. We do not guarantee the accuracy, availability, or currency of this data. Prices and stock levels can change between the time Sorrl displays them and the time you complete checkout on a distributor's site. You should verify final pricing and availability directly with the distributor before purchasing.

7. Team and Project Collaboration

If you use Sorrl's team features, project owners and managers can invite members, assign roles, and configure spend-approval workflows. You are responsible for managing who has access to your organization's projects and data within Sorrl. We are not responsible for actions taken by members you have invited to your projects.

8. Intellectual Property

The Service, including its software, design, and content (excluding your own BOM/project data), is owned by Sorrl and protected by intellectual property laws. You retain ownership of the BOM, project, and part data you upload. You grant us a limited license to use that data solely to provide the Service to you.

9. Termination

You may stop using the Service and delete your account at any time. We may suspend or terminate your account if you violate these Terms, engage in fraudulent or abusive behavior, or if required by law. Upon termination, your right to use the Service ends, though certain provisions of these Terms (e.g., limitation of liability, governing law) will survive.

10. Disclaimers and Limitation of Liability

THE SERVICE IS PROVIDED "AS IS" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED. TO THE MAXIMUM EXTENT PERMITTED BY LAW, SORRL DISCLAIMS ALL WARRANTIES, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, SORRL SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOST PROFITS OR LOST DATA, ARISING FROM YOUR USE OF THE SERVICE OR ANY TRANSACTION COMPLETED WITH A THIRD-PARTY DISTRIBUTOR. OUR TOTAL LIABILITY FOR ANY CLAIM ARISING OUT OF THESE TERMS SHALL NOT EXCEED THE AMOUNT YOU PAID SORRL IN THE TWELVE MONTHS PRECEDING THE CLAIM.

11. Indemnification

You agree to indemnify and hold Sorrl harmless from any claims, damages, or expenses arising from your violation of these Terms, your misuse of the Service, or your transactions with third-party distributors.

12. Governing Law

These Terms are governed by the laws of the Commonwealth of Pennsylvania, without regard to conflict-of-law principles, unless otherwise required by applicable consumer-protection law in your jurisdiction.

13. Changes to These Terms

We may update these Terms from time to time. We will post the updated Terms with a new "Last Updated" date. Continued use of the Service after changes take effect constitutes acceptance of the revised Terms.
